Reed AI is licensed to You (the "Adult Account Owner" or "End-User") by Reed AI Ventures Inc., located at 533 E Girard Ave, STE 98587, Philadelphia, PA 19125, United States ("Licensor"), for use only under the terms of this License Agreement.

By downloading the Licensed Application from Apple's software distribution platform ("App Store"), and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that You accept this License Agreement. App Store is referred to in this License Agreement as "Services."

This License Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions ("Usage Rules"). The parties of this License Agreement acknowledge that the Services are not a Party to this License Agreement and are not bound by any provisions or obligations with regard to the Licensed Application, such as warranty, liability, maintenance, and support thereof. Reed AI Ventures Inc, not the Services, is solely responsible for the Licensed Application and the content thereof

1. THE APPLICATION

Reed AI ("Licensed Application") is an educational application designed to support language learning and literacy development through interactive, personalized activities for neurodivergent learners and their families/caregivers. It is customized for iOS mobile devices ("Devices") to provide interactive experiences (e.g., guided prompts, learning activities, and AI-assisted content).

MEDICAL DISCLAIMER: Reed AI is an educational support application. It is NOT a medical device and does not provide medical advice, diagnosis, or treatment. It is not intended to be used as a substitute for professional clinical judgment or services.

2. SCOPE OF LICENSE

2.1 Account Ownership: You represent and warrant that You are of legal age to form a binding contract. As the Adult Account Owner, You are responsible for any use of the Application by minors ("Learners") or third-party therapists or other professionals ("Authorized Adults") that You invite to access Your account. You represent and warrant that You have authority to create the account and to consent to the collection and processing of Learner data as described in our Privacy Policy and any applicable program-specific terms.If the Licensed Application is used through a school, district, or other organized pilot or institutional program, any applicable program-specific agreement, parent enrollment document, school supplement, or institutional terms will control over conflicting provisions of this License Agreement for that program use, including with respect to privacy, data processing, retention, deletion, liability, dispute resolution, and governing law.

2.2 Grant of License: You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Devices that You own or control. This license permits personal, family, and professional therapeutic assistance use (for invited Authorized Adults), subject to the Usage Rules.  Before enabling microphone, live-transcription, recording, or similar features, You are responsible for ensuring that all notices, permissions, and consents required by applicable law or institutional policy have been obtained.

2.3 Authorized Adult Disclaimer: If You invite a therapist or other Authorized Adult to use the Application, You acknowledge that Reed AI provides the platform only. Reed AI is not responsible for the advice, conduct, services, or professional negligence of any invited Authorized Adult. The relationship between You and the Authorized Adult is independent of Reed AI.

2.4 Restrictions: You may not share or make the Licensed Application available to third parties (except as permitted by Family Sharing or the features of the Application), sell, rent, lend, lease, or otherwise redistribute the Licensed Application. You may not reverse engineer, translate, disassemble, integrate, decompile, or create derivative works of the Licensed Application.  You may not use the Licensed Application to record or transcribe any confidential communication where consent is required and has not been obtained.

3. TECHNICAL REQUIREMENTS

3.1 The Licensed Application requires a firmware version iPadOS 26.0 or later. Licensor recommends using the latest version of the firmware.

3.2 You acknowledge that it is Your responsibility to confirm that the device on which You intend to use the Licensed Application satisfies these technical specifications.

4. MAINTENANCE AND SUPPORT

4.1 The Licensor is solely responsible for providing any maintenance and support services for this Licensed Application. You can reach the Licensor at the email address listed in the App Store Overview for this Licensed Application.

4.2 Reed AI Ventures Inc. and the End-User acknowledge that the Services (Apple) have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

5. USE OF DATA

You acknowledge that Licensor will be able to access and adjust Your downloaded Licensed Application content and personal information, subject to Your legal agreements with Licensor and Licensor's Privacy Policy: https://www.meetreed.ai/privacy.

Licensor may periodically collect and use technical data and related information about your device, system, and software to facilitate updates and support. Licensor may use this information to improve its products as long as it does not personally identify you.

6. USER CONDUCT AND CONTENT

6.1 Acceptable Use: You agree not to use the Application to harass, abuse, stalk, threaten, or defame any person, or to upload content that is illegal, infringing, or offensive. Detailed community guidelines and prohibited behaviors are set forth in Reed AI’s Terms of Service, which are incorporated herein by reference.

6.2 License to Content: You retain ownership of any content (text, audio, images) You upload or generate. By using the Application, You grant Reed AI a limited, non-exclusive, royalty-free license to host, process, and display such content solely to operate and improve the Application as described in the Terms of Service.

7. AI FEATURES

7.1 AI Outputs: The Application may use artificial intelligence to generate content ("Outputs") based on Your inputs. You acknowledge that AI Outputs are provided for informational and educational purposes only and may be inaccurate, incomplete, or not unique.

7.2 Human Supervision:AI-generated content should be reviewed by a parent, guardian, or professional before being presented to a Learner. You are solely responsible for ensuring that any Output is appropriate for the Learner’s needs.

8. LIMITATION OF LIABILITY

8.1 To the maximum extent permitted by law, Reed AI Ventures Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of Your use of the Application.

8.2 Licensor’s total liability for any claim arising out of this Agreement shall not exceed the lesser of (a) the amount paid by You for the Application in the six (6) months prior to the claim, or (b) $500.

9. WARRANTY

9.1 Licensor warrants that the Licensed Application is free of malware at the time of download. No warranty is provided for issues caused by unauthorized modifications or inappropriate hardware.

9.2 In the event of any failure of the Licensed Application to conform to any applicable warranty, You may notify the App Store Operator, and Your purchase price will be refunded. To the maximum extent permitted by applicable law, the App Store Operator will have no other warranty obligation whatsoever.

10. PRODUCT CLAIMS

Reed AI Ventures Inc., not the Services, is responsible for addressing any claims by You or any third party relating to the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

11. LEGAL COMPLIANCE

You represent and warrant that (i) You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties.

12. INTELLECTUAL PROPERTY RIGHTS

In the event of any third-party claim that the Licensed Application infringes that third party’s intellectual property rights, Reed AI Ventures Inc., not the Services, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

13. THIRD-PARTY TERMS AND BENEFICIARY

You must comply with applicable third-party terms of agreement when using the Licensed Application. Apple and Apple’s subsidiaries are third-party beneficiaries of this License Agreement. Upon Your acceptance of this License Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this License Agreement against You as a third-party beneficiary thereof.

15. TERMINATION

The license is valid until terminated by Reed AI Ventures Inc. or by You. Your rights under this license will terminate automatically without notice if You fail to adhere to any term(s) of this license. Upon termination, You shall cease all use of the Licensed Application and destroy all copies.  Termination of this License Agreement does not by itself alter any retention, deletion, or access rules stated in the Privacy Policy or any applicable school program-specific agreement.

16. APPLICABLE LAW

This License Agreement is governed by the laws of the State of Delaware excluding its conflicts of law rules, except that if the Licensed Application is provided under a school, district, or other program-specific agreement that specifies different governing law, venue, or dispute procedures for that program use, those program-specific terms control for that program use.
